FloWorks is a leading privately held flow solutions supplier offering an extensive product portfolio of valves, automation, pumps & other rotating equipment, fluid handling systems and specialty pipe, fittings and flanges and provides technical solutions to the chemical, power marine, agriculture, semiconductor, energy, pharmaceuticals, pulp and paper, food and beverage, renewables and many other industrial market segments. The Company is located in Houston, Texas.

Summary of Responsibilities

FloWorks is seeking an experienced and dynamic individual to serve as Corporate Counsel. This role plays a pivotal part in providing legal expertise and corporate governance leadership to support the Company's operations, strategic initiatives, and regulatory compliance. A successful candidate will provide counsel and advice to executive leadership and corporate management on legal strategy; sets the legal posture and ensures that business practices, policies, and dealings of FloWorks to meet regulatory requirements to mitigate the risk from legal action. Researches, interprets, and prepares legal and business communication documents and contracts. Prepares files and maintains the official records, notices, and actions as required by international, federal, state, and local jurisdictions and by other regulatory authorities.

Major Tasks, Responsibilities and Key Accountabilities

  • Draft, review, and negotiate a wide range of contracts, agreements, and legal documents, including but not limited to customer contracts, supplier agreements, NDAs, and leases.
  • Manage all aspects of corporate governance, including board meetings, shareholder relations, and compliance with corporate bylaws and governance documents.
  • Monitor and ensure compliance with all relevant laws, regulations, and industry standards, including reporting requirements and corporate filings.
  • Identify and mitigate legal and regulatory risks associated with business operations, transactions, and initiatives.
  • Respond to state and federal complaints and inquiries, collaborating with external legal counsel when necessary.
  • Provide legal counsel and due diligence support for potential mergers, acquisitions, divestitures, and joint ventures.
  • Protect and manage the Company's intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets.
  • Oversee or coordinate legal disputes, litigation, and alternative dispute resolution processes, collaborating with external legal counsel when necessary.
  • Develop, implement, and oversee the Company's compliance strategy and framework to ensure adherence to applicable laws, regulations and industry guidelines.
  • Deliver compliance training programs to educate employees and stakeholders on legal and regulatory matters.
  • Ensure compliance with relevant environmental regulations and standards.
  • Maintain and update corporate records, including board minutes, board resolutions and other corporate documents.
  • Conduct risk assessments to identify potential compliance risks and develop strategies to mitigate them.
  • Assist with internal and external investigation, responses to formal complaints and charges.
  • Communicate and provide general legal advice with the various business units.
  • Retain and manage outside counsel, overseeing strategy, reviewing invoices and managing deadlines.
  • Develop, implement, and continuously update the Company's sustainability strategy, aligning it with business objectives and global sustainability trends.
  • Stay informed about industry best practices, emerging trends, and technological advancements in sustainability.
  • Assist with other corporate legal matters as required.

Required Qualifications

  • Juris Doctorate (JD) degree from an accredited law school and active bar membership.
  • Minimum of seven years of legal experience, with a strong background in corporate and commercial law, preferably within the industrial or manufacturing sector.
  • Minimum of five years of working in an inhouse legal department, providing counsel to a corporation, which demonstrates an understanding of the unique legal challenges faced by businesses.
  • Proven experience in corporate governance and board-related matters.
  • Excellent communication and negotiation skills.
  • Strong analytical and problem-solving skills.
  • Ability to work collaboratively with cross-functional teams.
  • Manages a group or team of professional individual contributors and/or indirectly supervises support staff.

Preferred Qualifications

  • Experience in mergers and acquisitions, litigation, employment law and environmental preferred.
  • Tenure within a corporation under private equity backing.
  • Initiates strategy to achieve results through decision making and actions based on professional methods, business principles and practical experience.
  • Experience with international business and legal matters is a plus.

Enviromental Job Requirements

  • Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
  • Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
  • Typically requires overnight travel 5% to 20% of the time.
